1. Agreement to Terms
These Terms and Conditions ("Terms") govern your use of the website printerfx.uk and the consultancy services provided by PrinterFX Ltd ("PrinterFX", "we", "us", "our"), registered in England and Wales (Company No. 08472931).
By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
2. Services
PrinterFX provides IT infrastructure and print management consultancy services to businesses and organisations within the United Kingdom. Specific services, deliverables, timelines, and fees are defined in individual statements of work or service agreements.
We reserve the right to modify or discontinue any service with reasonable notice to existing clients.
3. Website Use
You may use our website for lawful purposes only. You must not:
- Use the website in any way that breaches applicable laws or regulations
- Attempt to gain unauthorised access to our systems or networks
- Transmit harmful code, viruses, or malicious software
- Reproduce, duplicate, or resell any part of our website without permission
- Use automated systems to scrape or collect data from our website
4. Consultancy Engagements
4.1 Proposals and Contracts
All consultancy work is subject to a written proposal or statement of work agreed by both parties. Verbal agreements are not binding until confirmed in writing.
4.2 Fees and Payment
Fees are as specified in the relevant proposal. Unless otherwise agreed, invoices are payable within 30 days of issue. We reserve the right to charge interest on overdue payments at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4.3 Client Responsibilities
Clients must provide timely access to premises, systems, personnel, and information necessary for us to deliver services. Delays caused by the client may result in revised timelines and additional charges.
5. Intellectual Property
All content on this website, including text, graphics, logos, and software, is the property of PrinterFX Ltd and protected by UK copyright law. Consultancy deliverables created specifically for a client become the client's property upon full payment, unless otherwise specified in the service agreement.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of an engagement. This obligation survives termination of the agreement for a period of three years.
7. Limitation of Liability
To the fullest extent permitted by law, PrinterFX Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our website or services. Our total liability for any claim shall not exceed the fees paid by the client for the specific service giving rise to the claim in the twelve months preceding the claim.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
8. Warranties and Disclaimers
Our consultancy advice is provided in good faith based on information available at the time. While we strive for accuracy, we do not guarantee specific outcomes or results. Technology environments vary, and implementation results may differ from projections.
9. Termination
Either party may terminate a consultancy engagement with 30 days' written notice. Clients remain liable for fees for work completed up to the termination date. We may terminate immediately if the client breaches these Terms or fails to pay outstanding invoices.
10. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, pandemics, government actions, or telecommunications failures.
11. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of our website or services after changes constitutes acceptance.
